Legal and Ethical Scenarios

Select two of the scenarios. Support your responses with appropriate cases, laws, and other relevant examples by using at least one scholarly source from the SUO Library in addition to your textbook for each scenario. Do not copy the scenario text into the paper. Label the beginning of each scenario with the number you selected (e.g., Scenario 1). Cite your sources in APA format on a separate page. Scenario 1 – Contracts

Greg, a consumer in Tennessee, sent a purchase order to Campbell Manufacturing, a U.S. company,  for a 4000 PSI gas pressure washer valued at $1275. Greg needed a new pressure washer for his part time business of washing houses. The order did not specify how disputes between the parties would be settled. Campbell returned a definite, unconditional acceptance that contained one additional term which stated that disputes must be submitted to arbitration. Greg received the acceptance; however, he never agreed or objected to the additional term. Campbell orally contracted to sell 15 pressure washers to London Painting Company a large commercial painting company  in France.

  • Explain the status of the contract between Greg and Campbell.
  • If a contract was formed, did the additional term in the acceptance become part of the contract?
  • Is the contract between Campbell and London legally enforceable? (Additional research outside of the textbook may be necessary).

Scenario 2 – Management of Corporations

Parker and Phillips incorporated  P & P Resorts Inc., a closely held Texas corporation.  Parker was president and Phillips served as vice president and director for operations.  Parker owned 40% of the stock, while Phillips owned 60%.  Both men met with CTA, a group of travel agents from California to discuss  special deals for booking groups into the resorts.  After the first meeting, all contracts with CTA were made by Phillips, who learned that there was a good chance that CTA would award the contract to P&P Resorts.  Phillips incorporated Travel Brokers and was its sole owner.  Phillips used P& P Resort’s time to work on proposals for Travel Brokers and managed to keep negotiations with CTA a secret from Parker.  When Parker discovered Phillip’s actions, he filed suit against him for wrongfully taking a corporate opportunity from P &P Resorts. Phillips claimed that he did not take a corporate opportunity because Travel Brokers did not have the financial ability to undertake the contract with CTA.

  • Provide the arguments for Parker and Phillips.
  • Determine which party should win and provide support for your selection.
  • Explain any ethical principles applicable to this case.

Scenario 3 – Product Liability

Allan was not a licensed plumber, but often installed hot water heaters as part of his job as a handyman.  Allan installed a new hot water heater manufactured by Bradford Inc. for Karla, a single mother with two children. Warnings were provided in large bold letters on a metal plate on the water heater.  Similar warnings were provided in the manual Allan provided to Karla at the time of installation. The warning on the water heater read “CAUTION: HOT WATER CAN SCALD.” The heater itself contained a picture of hot water coming from a faucet with the words “DANGER” printed above it. In addition, the following statement was printed on the water heater. Warning! Water temperature over 120°F can cause severe burns.  Children, elderly persons, and the disabled are at higher risk of being scalded. Test water temperature before bathing or showering.  Temperature limiting valves are available, see manual. Allan set the temperature to 105°F. The next day, 3-year-old Simon was being bathed by his 12-year-old sister, Linda. When Linda received a text on her cell phone, she left Simon alone in the bathtub with the water running. Simon was scalded by the water from the tap. Simon’s mother brought suit against Allan and Bradford Inc. alleging defects in the design of the water heater and Allan’s failure to warn her about the heater’s dangers.

  • Provide arguments that Allan, Bradford and Linda will introduce in court.

OBJECTIVE

You are to assume you have been recently hired by The Company and have been assigned to a team that reports to the CEO of THE COMPANY (SELECTED BY INSTRUCTOR). The head of your team is the CFO who is concerned about THE COMPANY’s current financial performance and comparison against major competitors in the industry and the impact that may have on the firm’s stock price. The CFO would like your team to provide insights that will help them to project future financial performance. In this part of the project you will complete ratio analysis of THE COMPANY. Please remember that you are the financial analyst of THE COMPANY and should prepare the report to be read by the chairman (CEO) of THE COMPANY. The ratio analysis should be completed from the point of view of THE COMPANY’s the management.

The chairman of THE COMPANY is especially concerned about the following groups of ratios:

b.     Find ROE, Net profit margin (listed as net margin), asset turnover, financial leverage for the last year for its major peer competitor. You also may use debt/equity ratio of peer competitor in your analysis. Present the ratios as the table(s) in your project.

c.      Has the company’s ROE changed over the last three years? What was the main factor that influenced this change?

d.     Compare the ratios of you company to the peer competitor. If the management of the company would like to improve their return on equity, what should the management of the company do?

Teaching ELL students will take patient and training to deliver instruction in a manner that is considerate of the new material students will be learning. The English language is different from what they have known and use the same approach they would use when teaching basic language skills to other students. Starting with reading material that has a connection to familiar subjects like families, places they have heard of while introducing a few new words and sounds. Beginning with words that have sounds that are like words the already know could help them transition to new words. Teachers should maintain a structured learning environment to allow students to focus. Using textural cues and illustrations with open questions for students to answer demonstrating what they are learning gives them an activity to share with classmates. Visuals are a great teaching tool for developing students they encourage creativity, and let students use their imagination which is something all children enjoy.

Students can experience some anxiety related to the changes in their home dynamic, new scenery, different foods and the need to fit in an unfamiliar place. These can contribute to barriers while learning and teachers should be prepared for behaviors related to those factors and mild re-direction can help ease some of those frustrations. A well-prepared lesson plan with activities and technology can help give ELL students interesting lessons that keep them engage and learning.

Processed in two separate parts of the brain, language acquisition and language learning is a natural process that ELL students must be taught by teachers. The unconsciously learned language, which is learned through exposure is language acquisition. This process is done with good communication and does not need a systematic type of study. Language acquisition is the part of the language that is considered the communication aspect (Foppoli, n. d.). The instruction of language is the and the rules of language go together.

When students are learning a second language, this process is nearly the same as when they learned their native language. The goal of learning a new language is to have oral instruction, vocabulary, reading, and writing (Krashen, 1988). When using any grammar guidelines, this should be in the context of what text is used in learning the language. Language learning uses memorizing techniques, grammar guidelines, and writing sentences. Language learning will help these students with testing skills but does not work as well with developing communication skills.

The ability to use language is an innate skill. “Language acquisition is an innate, natural, predictable process occurring in normally developing children” (Krashen & Terrell 1983). Language acquisition is a natural way of speaking. Language acquisition can occur through communication and social interaction or it through study, help of instructor or other assistive devices. Language learning involves the students consciously accumulating vocabulary and grammar knowledge in the classroom. These students most likely will not develop the same level of proficiency in the new language as those who acquire it. This is mainly due to the interference of their first language. However, some students are able to surpass the native speakers in reading and writing but not in speaking.

Example of language acquisition is if you were born in China to parents who spoke mandarin, you would naturally speak mandarin. This is applicable to the native language a child is taught. When a native tongue is learned there are no vocabulary rules to memorize or textbook to study.

An example of language learning is teaching ELL students English, there are a set of rules- vocabulary, grammar etc. that must be applied to develop the skill. Language learning and language acquisition are not opposites instead they complement each other.
